[PEN-L:34142] SEC rules for lawyers
Crucial retreat on these formulations. They now place the burden on
individual lawyers working for the client to be positively and demonstrably
reasonably sure that a material violation has occurred before they blow any
whistle.
Therefore the burden of proof even to start an investigation is on the
lawyer to undermine or betray his/her client.
I doubt that this really helps chief executives with their enhanced
accountability.
